Nairobi, 26 February 2026 - East African Breweries PLC (EABL) notes that the matter came up in Court today for the hearing of Bia Tasha's application seeking to restrain Diageo from disposing of its shareholding in EABL to Asahi.

The interim conservatory order dated 20 January 2026 which restrained the taking of final steps in the completion lapsed today. Bia Tosha applied to extend the interim order. The Respondents, including EABL, opposed the request on the basis that there was no legal or factual basis to extend interim restraints. The Court declined to issue any orders.
The Judge informed the parties that he is on transfer to Kiambu Law Courts with effect from 1 April 2026 and therefore directed that the matter be placed before the incoming Judge on 9 April 2026. This date was agreed by all parties.
EABL welcomes this outcome. The transaction remains subject to the applicable regulatory processes and approvals. EABL will continue to cooperate fully with the relevant authorities and will participate in the court process as directed. Business operations remain unaffected.
